Thanks for highlighting an apparent lack of restraint of trade clauses in use when purchasing a business in Thailand. In a technical sense, a ROT clause whilst written into a contract of sale has no impact if the purchaser, after stumping up the money to make the purchase, does not have the funds to sue for the breach. I guess the ‘let the buyer be aware’ phrase still rings true in any commercial contract irrespective of any undertaking given during the negotiation phase. It is a timely reminder for me personally as l am in a commercial negotiation at the moment.
Restraint of trade? Try and sell that protection to the next muppet who willingly puts down key money for a stall in the Day & Night cow shed.
